Affiliate Commission Program Terms and Conditions

Preamble

These Terms regulate the relationship between the Company that owns the website, products, and digital systems, and the independent commission-based Affiliate. Registration in the program, use of the Affiliate code or link, or any marketing activity relating to the Company’s products constitutes express acceptance of these Terms.

1. Definitions

**Company:** the entity that owns or operates the website, products, systems, and services.

**Website:** the website, app, platform, or any official sales channel approved by the Company.

**Affiliate:** a natural or legal person accepted into the commission program and marketing independently.

**Customer:** a person or entity purchasing a product or subscription directly or through an Affiliate code or link.

**Products:** all software, systems, services, packages, and subscriptions offered by the Company.

**Annual Subscription:** a subscription allowing use of the systems determined by the Company for one year according to the Website terms.

**Approved Price:** the value determined by the owning Company on the Website or official checkout page at the time of purchase, inclusive of or subject to taxes and fees as displayed on the payment page.

**Affiliate Code:** a unique code assigned to the Affiliate to connect sales and which may entitle the Customer to an Affiliate-specific discount.

**Affiliate Link:** a link containing the Affiliate Code and used to document the sale source and apply the Affiliate Discount where available.

**Affiliate Discount:** the discount or pricing benefit approved by the Company for the Customer when using the Affiliate Code or Link.

**Valid Sale:** a completed and paid purchase that is not cancelled, refunded, disputed, or in breach of these Terms.

**Net Sale Value:** the amount used to calculate commission after excluding taxes, fees, payment and transfer charges, refunds, discounts, and amounts not considered net Company revenue, unless otherwise decided in writing.

**Commission:** the amount due to the Affiliate for a Valid Sale connected to the Affiliate Code or Link.

**Balance Under Trial or Review:** commissions not yet finally due because of trial, review, refund right, or payment dispute.

**Withdrawable Balance:** commissions finally due after all entitlement conditions are met.

2. Nature of Relationship

1. The Affiliate acts independently on a commission basis and is not an employee, partner, exclusive agent, or legal representative of the Company.

2. The Affiliate may not bind the Company to any contract, promise, discount, warranty, or obligation not officially approved.

3. The Company is not liable for any promises, statements, or undertakings made by the Affiliate outside official terms.

4. The Affiliate is solely responsible for marketing methods and customer communications.

3. Registration and Data

1. The Affiliate must provide accurate, complete, and current information, including identity, contact, and payment details when requested.

2. The Company may request additional documents for verification, financial or tax compliance, or anti-fraud purposes.

3. The Company may suspend the account or temporarily withhold payment until verification is completed.

4. Prices, Products, and Subscriptions

1. The Affiliate must market according to the prices, packages, and terms officially published on the Website.

2. The Affiliate may not change prices, grant unauthorized discounts, or promise a special price outside what appears on the Website or checkout page.

3. The official price of any product or subscription, including the Annual Subscription, is the price determined by the owning Company on the Website or official checkout page at the time of purchase.

4. The binding final price is the price displayed to the Customer on the official payment page, including or adding taxes and fees as displayed.

5. The Company alone may change prices, packages, products, payment methods, or subscription duration, effective upon publication or notice.

5. Affiliate Discount and Protection of Affiliate Rights

1. The Customer is entitled to an Affiliate-specific discount when completing the purchase using the Affiliate Code or Link, according to the rate, value, or mechanism determined by the Company at the time of purchase.

2. The Customer is not entitled to the Affiliate Discount unless the correct Affiliate Code is entered, or the approved Affiliate Link is used, before payment is completed and the discount appears on the official checkout or payment page.

3. If the Customer does not use the correct Affiliate Code or Link before completing the purchase, the Customer must pay the full value of the product or subscription according to the Approved Price displayed on the Website or payment page.

4. The Customer or Affiliate may not demand retroactive application of the discount after purchase unless the Company expressly agrees or a technical error in the Company’s systems is proven.

5. The discount appearing on the official payment page before purchase is the approved reference for proving application of the Affiliate Discount.

6. The Affiliate may not advertise any specific discount unless approved and activated by the Company.

7. The Affiliate is not responsible for the Customer not receiving the discount if the failure is caused by a proven technical error in the Company’s systems.

8. The Customer receiving an Affiliate Discount does not affect the Affiliate’s commission right if the sale is valid and connected to the Affiliate Code or Link.

6. Affiliate Code and Link

1. The Company provides the Affiliate with a unique code or link for marketing and sale attribution.

2. When the Affiliate Link is used, the system may automatically assign the Affiliate Code, and the Company may prevent changes to protect the commission and discount system.

3. The Company is not required to calculate commission or apply a discount if the sale occurs without the correct code or link, or if attribution cannot be proven.

4. The Company’s electronic, payment, tracking, and customer records are the primary reference for proving attribution and discount application.

7. Commission and Entitlement

1. The Affiliate is entitled to 20% commission for each Valid Sale connected to the Affiliate Code or Link.

2. Commission is calculated on Net Sale Value, not gross amounts including taxes, fees, discounts, or refunds, unless otherwise decided in writing.

3. Commission is due only after purchase completion, successful payment, correct attribution, end of any trial/review/refund period, and absence of cancellation, dispute, or manipulation.

4. No commission is due for fake, test, cancelled, refunded, disputed, or non-compliant transactions.

5. Renewals, upgrades, and later purchases generate commission only if expressly approved by the Company.

8. Trial Period and Customer Choice

1. If the Company provides a trial period or refund right, the Affiliate must disclose it honestly and clearly.

2. The Affiliate may not hide the trial period or pressure the Customer to reject it to accelerate commission.

3. The Customer’s choice must be free and informed.

4. Commissions from trial or review transactions remain under trial/review until entitlement is complete.

9. Payment and Statements

1. The Affiliate may request payment of the Withdrawable Balance once data is complete and the account is not suspended or under review.

2. The Affiliate bears bank transfer, payment gateway, currency, and intermediary fees.

3. The Company may deduct, cancel, or recover any commission if the transaction is cancelled, refunded, disputed, or invalid.

4. The Affiliate may view statements showing sales, discounts, commissions, balances, paid amounts, and cancelled transactions.

5. Any objection must be submitted in writing within 30 days from the transaction appearing in the Affiliate account, unless another period is specified.

10. Marketing Obligations

The Affiliate must market truthfully and transparently, provide no misleading information or unauthorized promises or discounts, avoid harming the Company, customers, or competitors, and comply with advertising, electronic marketing, and platform rules, including YouTube, TikTok, Instagram, X, Facebook, and others.

11. Customer Dealings

The Affiliate may follow up with connected Customers for product information and marketing purposes as an independent commission-based affiliate, without liability on the Company for the Affiliate’s promises or communication style. The Affiliate may not collect amounts in the Company’s name without express written authorization.

12. Confidentiality and Data Protection

The Affiliate must keep Company, Customer, transaction, system, and commission information confidential and may not sell, share, or use Customer data for unauthorized purposes. These obligations survive termination.

13. Intellectual Property

All trademarks, logos, software, designs, content, and marketing materials are owned by or licensed to the Company. The Affiliate receives only a limited, revocable license to use approved materials for marketing.

14. Material Breaches

Material breaches include manipulating sales or codes, creating fake sales, purchasing to obtain undeserved commission or discount, misleading the Customer about price, discount, or trial period, unauthorized promises, impersonating an employee, misusing Customer data, or harming the Company’s reputation. The Company may suspend the account, withhold payment, cancel commissions, terminate the relationship, and claim compensation.

15. Suspension and Termination

The Company may suspend the Affiliate account upon reasonable suspicion of breach or manipulation and withhold payment pending review. Either party may terminate according to these Terms. After termination, the Affiliate is entitled only to commissions that became withdrawable before termination, provided there is no breach, dispute, or refund.

16. Taxes, Liability, and Indemnity

The Affiliate is responsible for all tax and regulatory obligations arising from commissions. The Company does not guarantee sales or profits. To the extent permitted by law, the Company’s liability is limited to unpaid withdrawable commissions for the three months preceding the claim. The Affiliate must indemnify the Company for claims or losses caused by breach of these Terms.

17. Amendments and Notices

The Company may amend these Terms, commission rate, calculation method, or payment methods. Amendments apply upon publication on the Website/dashboard or notice. Continued use constitutes acceptance. Notices sent by email, phone, or dashboard are valid.

18. Governing Law and Disputes

These Terms are governed by the laws of the Company’s country of headquarters unless otherwise specified. The parties shall attempt amicable settlement; failing that, the competent court or arbitral authority shall have jurisdiction.

19. Approved Version and Conflict

The version published on the Website or Affiliate dashboard is the approved version. In case of conflict with any unofficial advertisement, message, conversation, or content, these Terms and official policies prevail. In case of translation conflict, the Arabic version prevails unless expressly stated otherwise.

Affiliate Acknowledgment

I acknowledge that I have read and accepted these Terms. I understand that I am an independent affiliate, not an employee or legal representative of the Company. I will market only according to official prices and terms. I agree that the Approved Price is the price determined by the owning Company on the Website at the time of purchase. The Customer receives the Affiliate Discount only by using my correct code or link before payment; otherwise, the Customer pays the full Approved Price. My commission is 20% of the Net Sale Value of Valid Sales connected to my code or link, and payment is subject to sale completion and the end of any trial, review, or refund period.
